Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and CharaSync ("CharaSync", "we", "us", or "our") and govern your access to and use of charasync.com and our AI image and video generation services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service

CharaSync provides tools to generate images and videos in which a chosen character or object remains consistent across scenes, using third-party AI models accessed through our providers. Generation is powered by credits. We may add, change, or remove features, models, and limits at any time.

3. Accounts

You must provide accurate information and keep it current. You are responsible for all activity under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use. You may not share your account or let others use it.

4. Credits, Plans, and Billing

• Credits. Generations consume credits based on the options you select (such as resolution, quality, model, and duration). The credit cost is shown before you generate. New accounts receive a one-time gift of credits, which does not expire. Credits included with a paid plan are added on each billing cycle and expire as stated for that plan (currently 30 days after they are granted).
• No cash value. Credits have no monetary value, are not your property, cannot be exchanged for cash, and are non-transferable except as we expressly allow.
• Failed generations. If a generation fails on our side, the credits charged for it are automatically refunded to your balance. A result you simply dislike is not a failed generation.
• Subscriptions. Paid plans are billed in advance on a recurring basis (monthly or yearly) through our payment processor, Creem, acting as Merchant of Record. Your purchase is a contract between you and Creem as the seller of record. Subscriptions renew automatically until cancelled. You can cancel at any time from your billing settings; cancellation stops future renewals and takes effect at the end of the current billing period.
• Price changes and taxes. We may change prices on a prospective basis with notice for the next billing period. Prices are exclusive of taxes unless stated; you are responsible for applicable taxes.
• Refunds. Except where required by law, payments and credits are non-refundable, including credits already consumed. Cancelling a subscription does not entitle you to a refund of fees already paid for the current period.

5. Your Content and License to Us

"User Content" means the prompts, reference images, reference videos, scripts, and other materials you submit. You retain all rights you hold in your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for example, to resize or format), and transmit your User Content to our service providers solely to operate and improve the Service and to perform the generations you request, including transmitting it to the AI providers described in our Privacy Policy.

You represent and warrant that:

• you own or have all rights, licenses, and consents necessary to submit your User Content and to allow the processing described in these Terms; and
• if your User Content depicts a real person, you have that person's consent (or another lawful basis) to upload their image or likeness and to generate content based on it.

6. Generated Output

Subject to your compliance with these Terms and to the rights of the underlying model providers, we do not claim ownership of the images and videos generated for you ("Output"), and, to the extent we hold any rights in your Output, we assign them to you. You are responsible for how you use your Output. You acknowledge that:

• Output is produced by third-party AI models and may be subject to those providers' terms;
• similar or identical Output may be generated for other users, so Output may not be unique and may not be eligible for certain intellectual-property protection; and
• AI Output can be inaccurate, unexpected, or offensive, and you must review it before relying on or publishing it.

7. Acceptable Use

You agree not to use the Service, your User Content, or your Output to:

• infringe any intellectual-property, privacy, publicity, or other rights;
• upload images of a person without their consent, or create content that impersonates a real person, fabricates events, or is intended to deceive (including deceptive "deepfakes" and political disinformation);
• generate any not-safe-for-work (NSFW), adult, pornographic, or sexually explicit content, including nudity, sexual acts, fetish content, or other sexual material — whether real, fictional, or AI-generated, this is strictly prohibited;
• create non-consensual intimate or sexual imagery, or any sexual content depicting a real, identifiable person;
• create, or attempt to create, any child sexual abuse material or any sexual or exploitative content involving minors — this is strictly prohibited and will be reported to authorities;
• create content that is harassing, defamatory, hateful, or that promotes violence, self-harm, or illegal activity;
• generate biometric identifiers for surveillance, or use Output to make decisions with legal or similarly significant effects on a person;
• violate any law or any policy of our underlying AI providers;
• upload malware, attempt to gain unauthorized access to the Service, scrape or reverse engineer it, circumvent credits, rate limits, or security measures, or use it to build a competing model or service;
• resell or sublicense the Service without our written permission.

To help enforce this Acceptable Use policy, every prompt is screened against our content policy using automated moderation before any image or video is generated; prompts that violate these rules are blocked and are not sent to our models. We may also use automated and manual methods to detect violations. We may remove content and suspend or terminate accounts for violations. We are not obligated to monitor User Content but may do so.

8. Intellectual Property

The Service, including its software, design, branding, and content (excluding your User Content and Output), is owned by CharaSync and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. "CharaSync" and our logos are our trademarks; you may not use them without permission.

9. Third-Party Services

The Service relies on third parties, including AI model providers, payment processors, hosting, storage, email, and support providers. Your use may also be subject to their terms. We are not responsible for third-party services and do not control their availability or actions.

10. Copyright Complaints

If you believe content available through the Service infringes your copyright, send a notice to [email protected] with enough detail to identify the work and the allegedly infringing material, your contact information, and a statement of good-faith belief. We may remove infringing content and terminate repeat infringers.

11. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT OUTPUT WILL BE ACCURATE, ORIGINAL, OR SUITABLE FOR ANY PURPOSE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARASYNC AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR REPUTATION. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You will indemnify and hold harmless CharaSync and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your Output, your use of the Service, or your breach of these Terms or of any third party's rights.

14. Suspension and Termination

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access at any time, including for violation of these Terms, with or without notice. On termination, your right to use the Service ends; Sections that by their nature should survive (including Sections 4–13 and 15) will survive. Credits are forfeited on termination for cause and are otherwise subject to Section 4.

15. Governing Law and Disputes

These Terms, and your use of the Service, are governed by the laws of the People's Republic of China (mainland), without regard to its conflict-of-laws rules. You and CharaSync agree that the courts of the People's Republic of China (mainland) will have non-exclusive jurisdiction over any dispute arising out of these Terms.

Consumer protection. Nothing in these Terms is intended to deprive any consumer of the mandatory rights granted by the consumer-protection laws of their country of habitual residence, to the extent those rights cannot be waived by contract.

Payments to Creem. The sale of paid plans is a transaction between you and Creem as Merchant of Record, governed by Creem's own terms of service and the payment terms presented at checkout; these Terms govern only your use of the Service.

16. Changes to These Terms

We may modify these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date above. Material changes will be communicated through the Service or by email where appropriate. Your continued use after changes take effect constitutes acceptance.

17. General

These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
